These Terms of Service ("Terms") are a legal agreement between you and Uchhal ("Uchhal", "we", "us" or "our") governing your access to and use of the Clinovant application, website and related backend services (together, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Not a medical device or medical advice. Clinovant is a documentation and productivity aid. It does not provide medical advice, diagnosis or treatment, and it is not a substitute for professional clinical judgment. All AI-generated content is a draft that must be reviewed and confirmed by a qualified, licensed clinician before any clinical use.

1. The Service

Clinovant records doctor–patient consultations in Indian languages, transcribes the audio, analyses it using artificial intelligence, and maintains a cumulative medical case report across visits that can be exported as a PDF. Features may change, be added or removed over time.

If you record another person (for example, a patient), you are solely responsible for obtaining their informed consent before recording, and for informing them that the conversation will be transcribed and analysed using AI. You must not record any person who has not consented. You agree to comply with all applicable laws governing recording, medical confidentiality and patient rights.

5. Medical disclaimer

Clinovant does not practise medicine and does not provide medical advice. AI-generated transcripts and reports may contain errors, omissions or inaccuracies, including mis-transcribed terms, incorrect medications or misattributed statements. You must not rely on the Service for emergencies. Any clinical decision remains the sole responsibility of a qualified, licensed healthcare professional.

The Service relies on third-party providers (including speech-to-text, AI analysis, cloud hosting and database providers) to function. Your use of the Service is also subject to those providers' terms where applicable. We are not responsible for third-party services and do not control their availability or performance.

8. Intellectual property and your content

The Service, including its software, design and trademarks, is owned by Uchhal and protected by applicable law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms.

You retain ownership of the content you submit (audio, transcripts and case data, "Your Content"). You grant Uchhal a limited licence to process Your Content solely to provide, maintain and secure the Service as described in our Privacy Policy. You are responsible for Your Content and represent that you have the right to submit it.

Our handling of personal data is described in our Privacy Policy, which forms part of these Terms. Please read it to understand how we collect, use and protect your data.

10. Availability, fees and changes

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend or discontinue any part of the Service at any time. If the Service is or becomes a paid service, applicable fees and billing terms will be presented to you before you incur any charge.

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service or any AI output will be accurate, complete, reliable or error-free.

12. Limitation of liability

To the maximum extent permitted by law, Uchhal and its affiliates, officers, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data, goodwill, or for any clinical outcome, arising out of or relating to your use of (or inability to use) the Service. To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve months before the claim, or (b) INR 5,000.

13. Indemnification

You agree to indemnify and hold harmless Uchhal and its affiliates from any claims, damages, liabilities and expenses (including reasonable legal fees) arising out of your use of the Service, your content, your recording of others, or your breach of these Terms or of any law.

14. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or use the Service in a way that could cause harm or legal liability. On termination, your right to use the Service ends; provisions that by their nature should survive (including sections 8, 11, 12, 13 and 15) will survive.

15. Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-laws principles. Subject to applicable law, the courts at the place of Uchhal's principal place of business in India will have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Service.

16. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where changes are significant, provide a more prominent notice. Your continued use of the Service after an update means you accept the revised Terms.
